These Terms of Service ("Terms") constitute a legally binding agreement between you and ExecutiveSearch.AI K.K. governing your access to and use of the Headhunt.AI platform and services.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

To use the Service, you must be at least 18 years of age, have the legal authority to enter into these Terms, and not be prohibited from using the Service under applicable laws.

3. Description of Service

Headhunt.AI is a SaaS platform providing AI-powered recruiting and talent discovery tools. The Service enables users to search and discover candidate profiles, utilize AI-powered matching algorithms, access talent market analytics, and integrate with existing ATS systems.

4. Data Ownership & Intellectual Property

Platform Data: All data, algorithms, models, analytics, and content provided through Headhunt.AI are the exclusive property of ExecutiveSearch.AI K.K.

Your Data: You retain ownership of data you upload. By using the Service, you grant us a limited license to process your data solely for providing the Service.

Restrictions: You may not copy, distribute, sell, license, or create derivative works from any data obtained through the Service without our express written consent.

5. Acceptable Use

You agree to use the Service only for lawful recruiting and talent acquisition purposes. You may not scrape or extract data through automated means, reverse engineer the Service, resell or commercially exploit the Service without authorization, use the Service to discriminate, violate applicable laws, or interfere with the Service infrastructure.

6. Account Registration

You agree to provide accurate information during registration, maintain the security of your credentials, accept responsibility for all activities under your account, and notify us immediately of unauthorized access.

7. Subscription and Payment

Access requires a paid subscription. Subscriptions are billed in advance and automatically renew unless cancelled. Fees are generally non-refundable. We may modify pricing with 30 days' notice.

8. Data Sources and Accuracy

While we strive for accuracy, we do not guarantee the accuracy, completeness, or currency of any data. Users are responsible for verifying candidate information. AI-generated insights are provided as guidance, not guarantees.

9. Confidentiality

We keep your search activities and candidate shortlists confidential. We do not share your data with other users or third parties except as described in our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECUTIVESEARCH.AI K.K. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ExecutiveSearch.AI K.K. from claims arising from your use of the Service, violation of these Terms, or violation of third-party rights.

13. Termination

You may terminate your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, harmful conduct, or legal requirements. Upon termination, your right to use the Service ceases immediately.

14. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting updated Terms and updating the "Last Updated" date. Continued use constitutes acceptance of revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan. Disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

16. General Provisions

These Terms constitute the entire agreement between you and us. If any provision is unenforceable, the remaining provisions continue in effect. Failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our consent.
